General Terms and Conditions (GTC) of Change Gravity, Stephan Rammerstorfer<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

1. Scope of Application<\/strong><\/p>

These General Terms and Conditions (GTC) govern all legal relationships between Change Gravity, owned by Stephan Rammerstorfer (hereinafter referred to as “Change Gravity”), and its Customers regarding all services offered as well as the sale of goods.<\/p>

They apply in particular to:<\/p>

  • Safety Trainings (SIKU)<\/li>
  • Tandem Flights<\/li>
  • Coaching<\/li>
  • Advanced Training<\/li>
  • Courses<\/li>
  • Outdoor Activities<\/li>
  • Events<\/li>
  • Consulting Services<\/li>
  • Repairs<\/li>
  • The sale of flight equipment, accessories and other goods<\/li>
  • All services offered through the online shop.<\/li><\/ul>

    Any terms and conditions of the Customer that deviate from these GTC shall only apply if expressly accepted by Change Gravity in writing.<\/p>

    By placing an order or making a booking, the Customer confirms that they have read and accepted these GTC.<\/p>

    \u00a0<\/p>

    2. Definitions<\/strong><\/p>

    To avoid misunderstandings, the following definitions shall apply:<\/p>

    \u00a0<\/p>

    Customer<\/strong><\/p>

    A Customer is the natural or legal person who places an order or books a service and thereby becomes the contractual partner of Change Gravity.<\/p>

    \u00a0<\/p>

    Participant<\/strong><\/p>

    A Participant is the person who actually takes part in an event.<\/p>

    The Customer and the Participant may be the same person, but this is not necessarily the case.<\/p>

    For example, if one person books a course for another person, the person making the booking remains the contractual partner and is responsible for all payments.<\/p>

    \u00a0<\/p>

    3. Conclusion of Contract<\/strong><\/p>

    By placing an order or making a booking, the Customer submits a binding offer to conclude a contract.<\/p>

    A contract shall only come into existence upon:<\/p>

    • a written booking confirmation,<\/li>
    • an order confirmation,<\/li>
    • an invoice,<\/li>
    • or an express declaration of acceptance by Change Gravity.<\/li><\/ul>

      Automatically generated acknowledgements of receipt shall not constitute acceptance of the offer.<\/p>

      Change Gravity reserves the right to reject bookings without stating any reasons.<\/p>

      \u00a0<\/p>

      4. Performance of Services<\/strong><\/p>

      4.1 General Principle<\/strong><\/p>

      All flight activities, safety trainings, tandem flights, coaching sessions, courses and outdoor activities shall only be conducted under conditions which, in the opinion of Change Gravity, permit safe operation.<\/p>

      Relevant factors include, in particular, weather conditions, wind conditions, thermal conditions, visibility, air traffic, terrain and water conditions, the physical condition of the Participants, as well as any other safety-related factors.<\/p>

      The assessment as to whether an activity can be carried out safely shall be made exclusively by Change Gravity or the responsible flight management. This decision shall be final.<\/p>

      \u00a0<\/p>

      4.2 Subject Matter of the Contract<\/strong><\/p>

      For weather-dependent services, Change Gravity undertakes to perform the booked service under suitable and safe conditions.<\/p>

      The agreed date constitutes a planned performance date only and does not establish any entitlement to performance on a specific calendar day.<\/p>

      \u00a0<\/p>

      4.3 Rescheduling Due to Weather<\/strong><\/p>

      If safe performance on the scheduled date is not possible due to weather, wind or other safety-related conditions, Change Gravity shall be entitled to postpone the event, in whole or in part, to a later date.<\/p>

      A postponement due to weather or safety reasons shall not entitle the Customer to claim damages, including but not limited to compensation for travel expenses, accommodation costs, meal expenses, rental costs or loss of earnings.<\/p>

      \u00a0<\/p>

      4.4 Alternative Dates<\/strong><\/p>

      Following a postponement due to weather or safety reasons, Change Gravity shall, where reasonably possible, offer the Customer one or more reasonable alternative dates.<\/p>

      The Customer shall have no entitlement to a specific alternative date or to performance within a particular period.<\/p>

      \u00a0<\/p>

      4.5 Credit Voucher<\/strong><\/p>

      If, despite reasonable efforts, no mutually acceptable alternative date can be agreed upon, or if the Customer declines the alternative dates offered, the Customer shall generally receive a transferable credit voucher with no expiry date for the amount already paid.<\/p>

      The credit voucher may be used for any services or goods offered by Change Gravity.<\/p>

      \u00a0<\/p>

      4.6 Refunds<\/strong><\/p>

      If, instead of accepting a credit voucher, the Customer expressly requests a refund of payments already made, despite Change Gravity having offered one or more reasonable alternative dates, the refund shall be made after deduction of an administrative processing fee of CHF 50.00 to cover the administrative expenses incurred.<\/p>

      If Change Gravity is unable to provide the booked service within 24 months of the originally scheduled performance date and is also unable to offer a reasonable alternative date, all payments already made shall be refunded in full without deduction.<\/p>

      The processing fee shall likewise not apply if performance becomes permanently impossible for reasons attributable to Change Gravity.<\/p>

      \u00a0<\/p>

      4.7 Organisational Cancellations<\/strong><\/p>

      Change Gravity reserves the right to cancel or postpone events for organisational reasons, including but not limited to failure to reach the minimum number of participants, unavailability of instructors, technical reasons or other operational circumstances.<\/p>

      In such cases, Change Gravity may, at its sole discretion, either offer an alternative date or refund all payments already received in full.<\/p>

      Any further claims by the Customer are excluded.<\/p>

      \u00a0<\/p>

      4.8 Interruption of an Event<\/strong><\/p>

      If an event that has already commenced must be terminated prematurely for safety reasons, Change Gravity shall determine, at its reasonable discretion, whether to grant an appropriate partial credit voucher, an alternative date or a partial refund.<\/p>

      In such cases, the Customer shall not be entitled to a full refund.<\/p>

      \u00a0<\/p>

      4.9 Force Majeure<\/strong><\/p>

      If an event cannot be carried out, or cannot be completed, due to force majeure, Change Gravity shall not be liable for any resulting losses or damages.<\/p>

      Force majeure includes, but is not limited to, natural disasters, severe weather, thunderstorms, storms, f\u00f6hn winds, flooding, wildfires, pandemics, epidemics, governmental orders, official restrictions or closures, strikes, war, terrorist acts, as well as any other comparable events beyond the reasonable control of Change Gravity.<\/p>

      \u00a0<\/p>

      5. Prices and Payment Terms<\/strong><\/p>

      5.1 Prices<\/strong><\/p>

      All prices are quoted in Swiss Francs (CHF).<\/p>

      Unless expressly stated otherwise, all prices include the statutory Value Added Tax (VAT), where applicable.<\/p>

      Shipping costs, packaging costs and any additional charges shall be shown separately.<\/p>

      Prices are subject to change at any time. The price agreed at the time the contract is concluded shall be binding.<\/p>

      \u00a0<\/p>

      5.2 Due Date<\/strong><\/p>

      Unless otherwise agreed, invoices are payable within 10 calendar days without deduction.<\/p>

      Change Gravity reserves the right to require advance payment or full payment in advance.<\/p>

      Participation in events may be made conditional upon full payment.<\/p>

      \u00a0<\/p>

      5.3 Late Payment<\/strong><\/p>

      If the Customer defaults on payment, Change Gravity shall be entitled to:<\/p>

      • charge default interest in accordance with Article 104 of the Swiss Code of Obligations (CO);<\/li>
      • charge reminder fees;<\/li>
      • suspend further services until full payment has been received.<\/li><\/ul>

        The following reminder fees shall apply:<\/p>

        • First reminder: CHF 20.00<\/li>
        • Second reminder: CHF 50.00<\/li>
        • Third reminder or initiation of legal proceedings: according to the actual costs incurred.<\/li><\/ul>

          For extraordinary administrative work (including extensive correspondence, debt collection processing or individual investigations), Change Gravity may charge CHF 100.00 per hour. The Customer shall be informed in advance.<\/p>

          \u00a0<\/p>

          6. Cancellations and Rebookings by the Customer<\/strong><\/p>

          6.1 General<\/strong><\/p>

          Cancellations or rebookings must be made in writing (e-mail is sufficient).<\/p>

          The relevant date shall be the date on which the notification is received by Change Gravity.<\/p>

          \u00a0<\/p>

          6.2 Tandem Flights<\/strong><\/p>

          The following cancellation fees shall apply:<\/p>

          • Up to 14 days before the scheduled activity: CHF 50.00 processing fee<\/li>
          • 13 to 8 days before the scheduled activity: 50% of the price<\/li>
          • 7 to 3 days before the scheduled activity: 75% of the price<\/li>
          • 2 to 0 days before the scheduled activity or failure to attend: 100% of the price<\/li><\/ul>

            \u00a0<\/p>

            6.3 Safety Trainings, Coaching, Advanced Training and Outdoor Activities<\/strong><\/p>

            • Up to 91 days before the start: CHF 50.00 processing fee<\/li>
            • 90 to 61 days before the start: 25%<\/li>
            • 60 to 31 days before the start: 50%<\/li>
            • 30 to 15 days before the start: 75%<\/li>
            • 14 to 0 days before the start or failure to attend: 100%<\/li><\/ul>

              6.4 Substitute Participant<\/strong><\/p>

              The Customer may nominate a suitable substitute participant at any time.<\/p>

              The following conditions apply:<\/p>

              • The substitute participant must fulfil all participation requirements;<\/li>
              • The substitution must be approved by Change Gravity;<\/li>
              • All outstanding amounts must have been paid in full.<\/li>
              • A processing fee of CHF 50.00 may be charged to cover the administrative expenses.<\/li><\/ul>

                6.5 Failure to Attend<\/strong><\/p>

                If a Participant fails to attend or arrives so late that participation is no longer possible, no entitlement to a refund or a replacement event shall arise.<\/p>

                \u00a0<\/p>

                7. Sale of Goods<\/strong><\/p>

                7.1 Delivery<\/strong><\/p>

                Delivery dates are non-binding unless expressly confirmed in writing.<\/p>

                Delivery delays shall not entitle the Customer to withdraw from the contract or to claim damages.<\/p>

                \u00a0<\/p>

                7.2 Transfer of Risk<\/strong><\/p>

                The benefits and risks relating to the goods shall pass to the Customer upon delivery of the goods to the transport company.<\/p>

                \u00a0<\/p>

                7.3 Retention of Title<\/strong><\/p>

                The delivered goods shall remain the property of Change Gravity until full payment has been received.<\/p>

                Change Gravity shall be entitled to register a retention of title in the competent register.<\/p>

                \u00a0<\/p>

                7.4 Duty to Inspect<\/strong><\/p>

                The Customer shall inspect the goods immediately upon receipt.<\/p>

                Any obvious defects must be reported in writing within five calendar days.<\/p>

                If no notice of defects is given within this period, the goods shall be deemed approved with regard to any obvious defects.<\/p>

                \u00a0<\/p>

                8. Participation Requirements<\/strong><\/p>

                Each Participant confirms that they:<\/p>

                • are in good physical health;<\/li>
                • are capable of meeting the requirements of the activity;<\/li>
                • are not under the influence of alcohol or drugs;<\/li>
                • will comply with all instructions issued by the flight management.<\/li><\/ul>

                  Change Gravity reserves the right to exclude Participants from an event at any time for safety reasons.<\/p>

                  In such cases, no entitlement to a refund shall exist where the exclusion was caused by the Participant.<\/p>

                  \u00a0<\/p>

                  9. Liability<\/strong><\/p>

                  9.1 General<\/strong><\/p>

                  Participation in all activities is at the Participant’s own risk.<\/p>

                  The mandatory statutory provisions governing liability shall remain reserved.<\/p>

                  \u00a0<\/p>

                  9.2 Liability of Change Gravity<\/strong><\/p>

                  Change Gravity shall only be liable for damages caused intentionally or through gross negligence, to the extent that such limitation of liability is permitted by law.<\/p>

                  Liability for slight negligence is excluded to the extent permitted by law.<\/p>

                  Liability for personal injury shall be governed by the mandatory statutory provisions and shall not be excluded by these GTC.<\/p>

                  \u00a0<\/p>

                  9.3 Exclusion of Further Liability<\/strong><\/p>

                  In particular, Change Gravity shall not be liable for:<\/p>

                  • changes to the programme due to weather;<\/li>
                  • postponement of events;<\/li>
                  • flight restrictions or flight bans;<\/li>
                  • waiting times;<\/li>
                  • loss of profit;<\/li>
                  • travel expenses;<\/li>
                  • hotel costs;<\/li>
                  • rental vehicle costs;<\/li>
                  • loss of earnings;<\/li>
                  • indirect damages;<\/li>
                  • consequential damages.<\/li><\/ul>

                    \u00a0<\/p>

                    9.4 Personal Responsibility<\/strong><\/p>

                    Each Participant is solely responsible for their personal equipment, physical condition and for maintaining adequate insurance coverage.<\/p>

                    \u00a0<\/p>

                    10. Insurance<\/strong><\/p>

                    Each Participant is solely responsible for maintaining adequate insurance coverage.<\/p>

                    Change Gravity particularly recommends that Participants obtain:<\/p>

                    • Accident insurance;<\/li>
                    • Personal liability insurance;<\/li>
                    • Cancellation insurance;<\/li>
                    • Travel insurance (for multi-day events).<\/li><\/ul>

                      \u00a0<\/p>

                      11. Photographs and Video Recordings<\/strong><\/p>

                      Photographs and video recordings may be taken during events.<\/p>

                      Such recordings may be used for:<\/p>

                      • Training purposes;<\/li>
                      • Internal quality assurance;<\/li>
                      • Marketing;<\/li>
                      • Website;<\/li>
                      • Social media.<\/li><\/ul>

                        Participants may object in writing at any time, with effect for the future, to the publication of recordings in which they are identifiable. Such objection shall not affect the use of the recordings for training or documentation purposes.<\/p>

                        \u00a0<\/p>

                        12. Data Protection<\/strong><\/p>

                        Personal data shall be processed in accordance with the Swiss Federal Act on Data Protection (FADP).<\/p>

                        Personal data shall be processed exclusively for the purpose of contract performance, customer support and compliance with statutory obligations.<\/p>

                        Further information can be found in the Change Gravity Privacy Policy.<\/p>

                        \u00a0<\/p>

                        13. Intellectual Property<\/strong><\/p>

                        All course materials, videos, photographs, presentations and documentation shall remain the property of Change Gravity.<\/p>

                        Without the prior written consent of Change Gravity, such materials may neither be reproduced, published nor made available to third parties.<\/p>

                        \u00a0<\/p>

                        14. Amendments to the GTC<\/strong><\/p>

                        Change Gravity reserves the right to amend these GTC at any time.<\/p>

                        The version of the GTC valid at the time the contract is concluded shall apply.<\/p>

                        \u00a0<\/p>

                        15. Severability Clause<\/strong><\/p>

                        Should any provision of these GTC be or become wholly or partially invalid, illegal or unenforceable, the validity of the remaining provisions shall remain unaffected.<\/p>

                        The invalid or unenforceable provision shall be replaced by a valid and enforceable provision which most closely reflects the economic purpose of the original provision.<\/p>

                        \u00a0<\/p>

                        16. Governing Law and Place of Jurisdiction<\/strong><\/p>

                        These GTC shall be governed exclusively by the substantive laws of Switzerland, excluding the rules of private international law and the United Nations Convention on Contracts for the International Sale of Goods (CISG).<\/p>

                        To the extent permitted by law, the exclusive place of jurisdiction shall be the registered office of Change Gravity in Wolfenschiessen, Canton of Nidwalden, Switzerland.<\/p>

                        Any mandatory places of jurisdiction prescribed by applicable law shall remain reserved.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
